Real estate transactions are being executed in an environment where “technical” risks increasingly determine commercial outcomes. Indirect tax and transfer-tax exposures can materially change deal economics when a transaction is structured or documented in a way that later triggers reclassification, VAT leakage, or disputes with tax authorities. At the same time, legal and regulatory complexity, title and encumbrance issues, zoning and permitting constraints, lease and landlord–tenant liabilities and compliance requirements can translate into closing delays, price adjustments, or post-completion claims if not surfaced early through disciplined, transaction-oriented due diligence.

Introduction

Przemek Oleksy

Managing Director, ASB Poland

Przemek is the Managing Director of ASB Group’s Polish office in Warsaw. He leads the firm’s client service lines and works closely with international clients, supporting their operations across key areas including financial reporting, payroll, and cash management. He brings extensive experience in finance, accounting, and audit, with a strong track record supporting local subsidiaries of international corporations. Przemek is a member of ACCA.

Tomasz Wiatrak

Country Manager Poland, Renomia

An experienced manager, entrepreneur, and strategic advisor with over 20 years of experience in the energy, industrial, public, defense, and financial sectors in Central and Eastern Europe. He specializes in organizational transformation and the implementation of complex strategic projects.


He is a graduate of the University of Warsaw and the Politecnico di Milano. He has built his career at KPMG and in senior management positions across the region. He managed Orlen Unipetrol, served as CEO of Energa IT, and was managing director of URC Systems Polska.

In his work, he combines corporate experience with involvement in industry and advisory organizations- he has served on the boards of key chambers of commerce and employers’ associations in the region and sits on the supervisory and advisory boards of several international business entities.


He is the founder and co-owner of the institute that publishes the MIT Sloan Management Review in select Central and Eastern European countries. He holds international auditing certifications (CIA, CGAP) and qualifications in project management, risk management, and information security.


Since 2026, he has served as CEO and Country Manager at the RENOMIA Polska Group, responsible for the group’s business development in one of the key markets of the Central and Eastern European region - Poland.

Senior Tax Manager and an accomplished Legal Advisor, boasting over a decade of experience in tax consulting acquired through roles at international tax consulting firms and prominent Polish law practices. Specializing in corporate income tax and VAT, Łukasz offers expertise garnered from advising predominantly large enterprises. His consultation spans daily operations, settlement verifications, and intricate restructuring undertakings. Executive Director, Gallagher Private Equity and M&A

Joyce Koch is Executive Director and Tax Broker for Gallagher GB Europe. Joyce started her career in 2001 as an international and later M&A tax advisor at Arthur Andersen and subsequently Deloitte working in the Netherlands, the United Kingdom and Germany. Start of 2021 Joyce left tax advice and became tax insurance broker. Joyce is registered with the NOB (Dutch order of Association for Tax Experts) and holds a German and Dutch broker license issued by the local authorities.

Seweryna Afanasjew is a real estate senior professional surveyor specializing in innovation, asset management, ​​commercial real estate management, corporate real estate, strategic facilities management and property management as well as renewable energy, ESG  and digital transformation. Ex- Member of the Board of IFMA Poland and the RICS World Europe Board, currently President of the Board of RICS in Poland. Member of the Polish Facility Management Council. Licensed real estate property manager and broker. Enterprenour.

 

Seweryna has 25 years of experience in the field of international commercial real estate portfolio managemnet (offices, shopping centers, warehouses). She focuses on the search for and implementation of modern technological solutions for real estate in order to increase the organization's EBITDA. An expert in asset management and leasing for investment funds, corporate real estate and strategic facilities management in large international organizations. She has also an extensive experience in sustainability/ESG in real estate management.

She builds strategies for organizations taking into account digital transformation and ESG.

 

She has been working for Cushman & Wakefield,  Citigroup, ARKA Real Estate Fund BZ WBK FIZ and FIZ 2, Octava Property Trust, Liberty Global and GTC S.A. 

 

International speaker and lecturer. She writes about innovation, proptech, ESG, strategies in the management and optimization of commercial real estate, lease negotiations; 

She is a author of the report “Strategic Facilities Management” for Polish Council of Facilities Management (PRFM) and co-author of the RICS publications “Real estate fund, asset and property management: investment services” and “Procurement of Facilities Management” .

 

She is also a business coach and mentor in Top Woman in Real Estate program and individually. She is focused on continuous development recently on ESG and entrepreneurship investment.

Seweryna is a passionate horse rider competing with her horses in eventing. Besides that she likes scuba diving and mountain hiking.

Maciej Duch

Partner, Advocate, Duch / Lisicki & Partners

Maciej’s practice focus covers all aspects of CRE deals for acquisition and sale of office, warehouse, industrial, and retail assets. He gained his experience working on projects involving joint ventures or co-investments. Maciej’s professional interests also include forward funding and forward purchase projects involving negotiation of  development management agreements.


Maciej deals with negotiation of program and portfolio agreements for creating, acquiring, or divestment of real estate asset platforms, and also advises on build-to-suit (BTS) development projects. His professional focus is also on commercial real estate financing issues, in the form of mezzanine, project, bridge,  participatory, and also private debt financing, real estate acquisition for commercial development, both greenfield and brownfield and sale & leaseback deals. He also provides day-to-day assistance with property development projects and management of already operational commercial facilities.

Paweł has vast experience in tax aspects of M&A transactions including share deals and asset deals with a strong focus on commercial real estate transactions, tax due diligence, tax planning, litigation, corporate law, contract law, transfer pricing, and ongoing tax and legal advisory to clients operating in various sectors such as real estate, pharmaceutical, energy, IT, retail.

Szymon Ostrowski

Managing Director - Deputy CIO, PFR TFI

An experienced manager with expertise in private equity, investment banking, investment fund management, and fundraising. Since 2025, he has been with PFR TFI, where, as managing director and deputy CIO, he is responsible for overseeing the implementation of investment strategies for managed private funds. Before joining PFR TFI, he was responsible for the creation and operation of Newport by Panattoni, a Luxembourg-based fund investing in warehouse properties in Europe. 


Previously, as an executive director at Haitong Bank, he was responsible for structuring and implementing investment banking transactions (M&A, DCM and structured finance). At the SINO-CEEF private equity fund, he managed the Central and Eastern Europe region, where he was involved in fundraising, searching for investment transactions and relations with the governments of the countries in the region. He also gained experience in corporate banking at ICBC and Citi. He is a graduate of the Warsaw School of Economics, Cardinal Stefan Wyszyński University, and Henley Business School in the United Kingdom.
